1. Introduction and Acceptance

This User Agreement ("Agreement") is entered into between you ("you" or "your") and iRta Team ("iRta Team", "we", "us" or "our") and governs your download, installation and use of the iRta Phone mobile application (the "App").

The App is a remote-control viewer (controller). It lets you sign in with your account and remotely view and control a computer (the "Device") on which the iRta desktop software is installed and running. The App itself does not expose a computer for remote control.

Please read this Agreement carefully before using the App. By downloading, installing, registering for, signing in to or using the App, you confirm that you have read, understood and agree to be bound by this Agreement, our Privacy Policy, our Children's Privacy Policy and our Third-Party Service Sharing List. If you do not agree to all of these terms, please do not download, install or use the App.

We may update this Agreement from time to time. We will notify you of material changes through the App or by other reasonable means. If you do not accept the updated terms, please stop using the App. Your continued use of the App after an update takes effect means that you accept the updated terms.

2. Definitions

3. The Service

3.1 What the App does. iRta Phone is a controller (viewer). With your Account you can:

3.2 Authorization required. A Remote Session can only be established with a Device that has the iRta desktop software running and signed in under the same Account (or that otherwise grants you access through the iRta desktop software's authorization flow). You must only connect to Devices that you own or that you are lawfully authorized to access and control. You are solely responsible for obtaining all necessary rights and consents before connecting to any Device.

3.3 The Device may stop a session at any time. The person using the Device may end the authorization at any time. When authorization ends, you must immediately stop operating the Device.

3.4 No guarantee of availability. The App and Services are provided on an "as-is" and "as-available" basis. We do not guarantee that a connection can always be established, that the screen or audio will be transmitted without delay or interruption, or that the App will work on every device or network.

4. Account Registration and Sign-in

4.1 To use the App you must sign in with a valid email address. A verification code will be sent to that email address; you enter the code to complete sign-in. You are responsible for the accuracy, security and confidentiality of your email account and any sign-in credentials. You must not use an email address that you are not authorized to use.

4.2 You are responsible for all activity that occurs under your Account. If you become aware of any unauthorized use of your Account, please contact us immediately.

4.3 You must provide truthful and accurate information. We may suspend or terminate access if we reasonably determine that you have provided false information or that your use violates this Agreement or applicable law.

5. License Grant and Restrictions

5.1 Grant. Subject to your compliance with this Agreement, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App on devices you own or control, solely for your personal use.

5.2 Restrictions. You may not, and may not allow any third party to:

5.3 Reservation of rights. All rights not expressly granted to you in this Agreement are reserved by iRta Team and its licensors.

6. Acceptable Use

6.1 You agree not to use the App or Services to:

6.2 You acknowledge that remote-control software, if misused, can cause serious harm. You must use the App responsibly and only in respect of Devices you are lawfully entitled to control. Any dispute between you and the person using a Device (including disputes over the scope of your authorization) is solely between you and that person; we are not a party to such disputes, though we may provide reasonable assistance where required by law.

7. Intellectual Property

7.1 The App and Services, including all software, text, graphics, logos, icons, interfaces, designs and other content, and all intellectual property rights in them, are owned by iRta Team or its licensors and are protected by copyright, trademark, patent and other laws.

7.2 You do not acquire any ownership interest in the App or Services by using them. "iRta" and related names, logos and designs are the trademarks of iRta Team. You may not use them without our prior written consent.

8. Privacy

Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, store and share your personal information, and our Children's Privacy Policy. By using the App, you acknowledge that you have read and understood these policies.

9. Updates and Modifications

We may from time to time update, modify, add or remove features of the App or Services, or release new versions. We do not guarantee that older versions of the App will continue to function. You may update the App through the official app store. You are responsible for keeping the App reasonably up to date.

10. Termination

10.1 You may stop using the App and uninstall it at any time. If you want to delete your Account or the data associated with it, please contact us or use the account-deletion option available in the App (where provided).

10.2 We may suspend or terminate your access to the App or Services, in whole or in part, if:

10.3 Upon termination, the license granted in Section 5 ends and you must stop using the App and delete all copies of it. The provisions that by their nature should survive termination (including Sections 5, 6, 7, 11, 12, 13 and 15) will continue to apply.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR FREE OF DEFECTS, OR THAT CONNECTIONS WILL ALWAYS SUCCEED. YOU USE THE APP AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL IRTA TEAM, ITS AFFILIATES, LICENSORS OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THE APP OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify and hold harmless iRta Team, its affiliates and their respective employees, officers, directors and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with your use of the App or Services, your breach of this Agreement, or your violation of any law or third-party right.

14. Force Majeure

We will not be liable for any failure or delay in performing our obligations under this Agreement caused by events beyond our reasonable control, including natural disasters, changes in law or government action, failures of telecommunications or internet infrastructure, network attacks or other unforeseeable, unavoidable and insurmountable circumstances.

15. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of or in connection with this Agreement shall first be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

If any provision of this Agreement is held invalid or unenforceable, that provision will be limited or replaced to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. Contact Us

If you have any questions about this Agreement, please contact us at report@irta.app, or through the feedback entry in the App.
